Reporting on remuneration

Details of how we deliver on our principles and guidelines as well as remuneration to the Board of Directors and Group Management can be found in the Remuneration Report and Note 6 in the Annual and Sustainability Report for 2022 and under the heading “Related information” at the bottom of this page.

Remuneration to the Board of Directors

Fees and other remuneration to of the members of the Board of Directors, including the Chairman, are resolved by the Annual General Meeting (AGM).

The AGM held on May 25, 2023, resolved that fee paid to the Board of Directors for the period until the conclusion of the AGM 2024 will be in accordance with the following. A fixed fee of a total of SEK 1,605,000 shall be paid to the members of the Board, of which SEK 466,000 shall be paid to the Chairman of the Board, SEK 362,000 to the Deputy Chairman of the Board and SEK 259,000 shall be paid to each Board member. The fee to the chairman of the audit committee shall be SEK 78,000 and SEK 52,000 shall be paid to each member of the audit committee and SEK 52,000 shall be paid to the chairman of the remuneration committee and SEK 31,000 to each member of the remuneration committee.

Guidelines for remuneration to senior executives (in Swedish)

A prerequisite for the successful implementation of the company’s business strategy and the protection of its long-term interests, including its sustainability, is that the company can recruit and retain qualified staff. To this end, the company must offer competitive and market-based remuneration and benefits. According to the guidelines, total remuneration and benefits to senior executives is to correspond to market practice and be competitive in the senior executive’s field of profession. The remuneration is offered as fixed salary, variable remuneration, other benefits such as car benefits, pension, and healthcare benefits.

The total remuneration is to be proportionate to the senior executive’s position and authority and the responsibility this entails based on the financial scope and business impact, as well as market complexity. Total remuneration is decided on an individual basis at a level that, in combination with the various remuneration components, is considered to correspond to market practice and is competitive taking into account performance.
