The Nomination Committee shall include members selected by each of the three largest shareholders in terms of voting rights that wish to participate in the committee as of the last banking day in August. &ldquo;The three largest shareholders by number of votes&rdquo; also refers to known shareholder groups.<\/p>\n<p class=\"mfn-wp-retain\">The Nomination Committee, ahead of the 2027 Annual General Meeting, has the following composition:<\/p>\n<ul>\n<li>Joakim Winggren, chairman of the Nomination Committee (appointed by Navigo Invest AB (publ))<\/li>\n<li>Alexander Svedulf (appointed by Svedulf F&ouml;rvaltning AB)<\/li>\n<li>H&aring;kan Roos (appointed by RoosGruppen AB)<\/li>\n<\/ul>\n<p class=\"mfn-wp-retain\">The term of office for members of the Nomination Committee shall run until a new Nomination Committee is appointed. The shareholders who appointed the members of the Nomination Committee represented approximately 43 percent of the outstanding votes in Nordisk Bergteknik as of 31 August 2026.<\/p>\n<p class=\"mfn-wp-retain\">The Nomination Committee will prepare proposals for the Annual General Meeting in 2027 regarding Chairman of the Annual General Meeting, Board members, Chairman of the Board, remuneration for Board members, Auditor, Auditor&acute;s fees and, to the extent deemed necessary, proposal regarding amendments of the current instruction for the Nomination Committee.<\/p>\n<p class=\"mfn-wp-retain\">The Annual General Meeting will be held on Tuesday, May 11, 2027, in Gothenburg, Sweden.<\/p>\n<p class=\"mfn-wp-retain\">Shareholders who wish to submit proposals to the Nomination Committee should send an email to <a href=\"mailto:agm@bergteknikgroup.com\" rel=\"noopener\" target=\"_blank\">agm@bergteknikgroup.com<\/a>.
